TERMS AND CONDITIONS OF ENROLMENT AND SERVICE

PREAMBLE
These Terms and Conditions of Enrolment and Service ("Agreement") constitute a legally binding contract between Timeline Trust, a test preparation center duly registered and operating in Ghana with its principal place of business at Achimota-Neoplan, Accra, Ghana (hereinafter referred to as "Timeline Trust," "the Company," "we," "us," or "our"), and any individual who registers for, enrolls in, or participates in any program, course, tuition, or service offered by Timeline Trust, whether in-person or online (hereinafter referred to as "Student," "you," or "your").
By enrolling in any program offered by Timeline Trust, making any payment, accessing the Timeline Trust Learning Portal, attending any in-person or online class, or using any service or material provided by Timeline Trust, you unconditionally accept and agree to be bound by this Agreement in its entirety. If you do not agree to these Terms and Conditions, you must not enroll, access our services, or use our materials.
Parents or legal guardians enrolling minors accept this Agreement on behalf of the minor and accept personal liability for compliance with all terms herein.
ARTICLE 1: DEFINITIONS
In this Agreement, the following terms shall have the meanings ascribed to them unless the context otherwise requires:
- "Agreement" means these Terms and Conditions of Enrolment and Service, as amended from time to time.
- "Authorized Tests" means the standardized tests for which Timeline Trust offers preparation classes, including but not limited to: the Scholastic Assessment Test (Digital SAT), Graduate Record Examinations (GRE), Graduate Management Admission Test (GMAT), Law School Admission Test (LSAT), International English Language Testing System Academic (IELTS Academic), International English Language Testing System General Training (IELTS General), International English Language Testing System LifeSkills (IELTS LifeSkills), and Test of English as a Foreign Language Internet-Based Test (TOEFL iBT).
- "Confidential Information" means all teaching methodologies, study materials, practice tests, recorded lessons, lesson notes, instructional strategies, digital content, proprietary systems, business processes, and all other intellectual property created, owned, or licensed by Timeline Trust.
- "Enrolment" means the formal registration of a Student for any program or course offered by Timeline Trust, completed upon payment of applicable fees.
- "Facility User Fee" means any additional fee payable by in-person students for the use of Timeline Trust's physical premises, infrastructure, or equipment.
- "In-Person Student" means a Student who attends tuition classes physically at Timeline Trust's premises at Achimota-Neoplan, Accra, Ghana.
- "Learning Portal" means Timeline Trust's proprietary online learning management system accessible at such URL(s) as Timeline Trust may designate, through which teaching materials, practice tests, and live or recorded classes are delivered.
- "Live Online Class" means a real-time virtual class session conducted via the internet through a platform designated by Timeline Trust.
- "Officer" means any director, employee, instructor, tutor, agent, contractor, or representative of Timeline Trust.
- "Online Student" means a Student who attends tuition classes via Timeline Trust's Live Online Class platform.
- "Program" means any structured course of study offered by Timeline Trust for preparation for any Authorized Test.
- "Study Materials" means all digital instructional content, notes, practice questions, mock tests, answer keys, and other educational resources provided by Timeline Trust.
- "Tuition Fees" means the fees payable by a Student for enrolment in and participation in a Program, exclusive of Facility User Fees.
ARTICLE 2: ENROLMENT AND ELIGIBILITY
2.1 Enrolment Process
Enrolment in any Program shall be deemed complete upon: (a) submission of a completed enrolment form; (b) provision of accurate personal identification information; and (c) receipt of full payment of applicable Tuition Fees by Timeline Trust.
2.2 Identity Requirements
All Students are required to register and enroll using their official legal name, being their First Name and Surname exactly as they appear on a valid government-issued identification document (such as a national identity card, passport, or birth certificate). Timeline Trust reserves the right to verify identity at any time. Enrolment obtained through false or misleading identity information shall be void and the Student shall not be entitled to any refund.
2.3 Modes of Participation
Timeline Trust offers the following modes of participation in its Programs:
- In-Person Tuition: Available at Timeline Trust's premises at Achimota-Neoplan, Accra, Ghana.
- Live Online Tuition: Available to students in all regions of Ghana, all countries in Africa, and globally worldwide.
Notwithstanding the Student's selected mode, ALL Students — whether In-Person or Online — shall be required to attend certain classes or access certain content online via the Learning Portal. Enrolment as an In-Person Student does not exempt the Student from online participation requirements.
2.4 Device and Internet Requirements
Students are strongly advised to have access to a personal internet-enabled device (including but not limited to a smartphone, tablet, or laptop computer) for purposes of attending online sessions and engaging in independent study via the Learning Portal. Timeline Trust shall not be responsible for any diminished learning experience arising from a Student's failure to maintain access to an adequate device or internet connection.
In-Person Students who report for class without a personal device may borrow a device from Timeline Trust's front desk subject to the following conditions:
- The device must be returned to the front desk immediately upon the conclusion of the class session.
- The borrowing Student shall be solely liable for any major damage caused to the borrowed device during the period of use and shall compensate Timeline Trust for the full cost of repair or replacement as determined by Timeline Trust.
- Timeline Trust makes no warranty as to the availability of devices for loan and reserves the right to decline lending at its discretion.
ARTICLE 3: FEES, PAYMENTS, AND REFUND POLICY
3.1 Tuition Fees
The Tuition Fees for each Program shall be as communicated by Timeline Trust at the time of enrolment. Timeline Trust reserves the right to revise its fee schedules without prior notice.
3.2 Facility User Fees
In-Person Students may, in addition to Tuition Fees, be required to pay Facility User Fees as determined by Timeline Trust from time to time. Such fees shall be communicated to In-Person Students prior to or upon enrolment. Failure to pay applicable Facility User Fees may result in denial of access to the physical premises.
3.3 Non-Refundable Fees — IMPORTANT NOTICE
⚠️ ALL FEES PAID TO TIMELINE TRUST, INCLUDING TUITION FEES AND FACILITY USER FEES, ARE STRICTLY NON-REFUNDABLE UNDER ANY CIRCUMSTANCES WHATSOEVER.
This includes but is not limited to circumstances where:
- The Student voluntarily withdraws from the Program.
- The Student is dismissed or withdrawn from the Program pursuant to a breach of this Agreement.
- The Student is unable to attend classes due to personal, medical, professional, or any other reason.
- The Student is absent from any class or classes.
- The Student is dissatisfied with the Program.
- The Student fails to sit the Authorized Test for which they were preparing.
By making payment, the Student expressly acknowledges and agrees to this non-refundable fee policy. No officer of Timeline Trust has authority to override this policy unless such waiver is granted in writing signed by an authorized director of Timeline Trust.
3.4 No Transfer of Fees
Fees paid for one Program are non-transferable to another Student or to a different Program, unless Timeline Trust grants express written approval in its sole and absolute discretion.
ARTICLE 4: USE OF THE TIMELINE TRUST LEARNING PORTAL
4.1 Access and License
Upon successful enrolment and payment of applicable fees, Timeline Trust grants the Student a limited, non-exclusive, non-transferable, revocable license to access and use the Learning Portal solely for the Student's personal educational purposes in connection with the enrolled Program. This license does not grant the Student any ownership rights in the Learning Portal or its content.
4.2 Account Security
The Student shall be issued personal login credentials for the Learning Portal. The Student is solely responsible for maintaining the confidentiality and security of their login credentials. The Student must not share, disclose, transfer, sell, or otherwise make their login credentials available to any third party under any circumstances.
Any access to the Learning Portal using the Student's credentials shall be deemed to have been made by the Student, and the Student shall bear full responsibility and liability for such access.
4.3 Single-Use and Non-Sharing Policy
Access to the Learning Portal, Live Online Classes, Study Materials, Practice Tests, and all digital content provided by Timeline Trust is granted exclusively for the personal, single use of the enrolled Student only. The Student expressly undertakes:
- NOT to share, broadcast, stream, distribute, or otherwise transmit access to any Live Online Class or Learning Portal session to any person.
- NOT to share, copy, reproduce, distribute, upload, post, or transmit any Study Materials, Practice Tests, lesson notes, or any other content from the Learning Portal to any third party, by any means whatsoever, including via social media, messaging applications, email, or physical reproduction.
- NOT to grant, sell, transfer, or loan their Learning Portal login credentials or class access links to any person.
Any breach of this clause shall constitute a material breach of this Agreement and shall result in the immediate and permanent termination of the Student's enrolment without any entitlement to a refund.
4.4 Content Format
All teaching content, Study Materials, Practice Tests, and other learning resources shall be delivered exclusively in digital format via the Learning Portal.
4.5 Availability and Downtime
Timeline Trust shall use reasonable efforts to maintain the availability of the Learning Portal. However, Timeline Trust does not warrant uninterrupted or error-free access and shall not be liable for any loss or inconvenience caused by scheduled or unscheduled downtime, technical failures, or interruptions to internet services.
4.6 Prohibited Activities on the Learning Portal
The Student must not:
- Attempt to hack, reverse engineer, circumvent, or tamper with the security or functionality of the Learning Portal.
- Use any automated tool, bot, or scraping mechanism to extract content from the Learning Portal.
- Use the Learning Portal for any unlawful purpose or in any manner that may damage Timeline Trust's reputation or systems.
- Upload, introduce, or transmit any virus, malware, or harmful code via the Learning Portal.
ARTICLE 5: RULES AND REGULATIONS FOR TUITION
5.1 Punctuality and Attendance
- Students are required to be present — whether in-person or online — at least fifteen (15) minutes before the scheduled commencement time of each class.
- Students who arrive in-person at the premises or join the online session fifteen (15) or more minutes after the scheduled start of a class may, at Timeline Trust's sole discretion, be denied entry or access to that class session in order to avoid disruption to other Students.
- Students who are absent from or miss any class session for any reason whatsoever shall forfeit that class. No substitute class, make-up session, or credit shall be provided for missed classes unless Timeline Trust determines otherwise in its sole discretion.
- Consistent poor attendance may be recorded and, where Timeline Trust deems it appropriate, may be communicated to the Student.
5.2 Conduct and Mutual Respect
- All Students are expected to conduct themselves in a professional, respectful, and courteous manner at all times, whether in-person at Timeline Trust's premises or online during class sessions.
- Mutual respect between Students and all Officers of Timeline Trust must be maintained at all times. Any form of disrespect, harassment, abusive language, threatening behavior, or misconduct directed at any Officer or fellow Student, whether in-person, online, or through any communication channel, is strictly prohibited.
- Timeline Trust reserves the right, in its sole and absolute discretion, to immediately cancel the enrolment of any Student found to have engaged in any form of disrespectful or misconduct behavior. Such cancellation shall not entitle the Student to any refund.
5.3 Academic Engagement
Students are expected to actively engage in the learning process, which includes:
- Paying full attention during class sessions.
- Asking relevant questions when clarification is required.
- Completing all assigned exercises, practice tests, and homework diligently and thoroughly.
- Reviewing materials independently between class sessions.
5.4 Recording of Classes — STRICTLY PROHIBITED
🚫 The audio or video recording of any class session, whether in-person or online, by any device or means whatsoever, is strictly prohibited unless the Student has obtained prior express written permission from Timeline Trust.
Any Student found to be recording any class session without written authorization shall:
- Be immediately and permanently withdrawn from the Program;
- Forfeit all fees paid without any entitlement to a refund; and
- Be subject to legal action for infringement of intellectual property rights.
5.5 Sharing of Teaching and Learning Materials — STRICTLY PROHIBITED
🚫 The sharing, distribution, reproduction, upload, or transmission of any Study Materials, Practice Tests, lesson notes, or any other Teaching and Learning Materials provided by Timeline Trust with any person is strictly prohibited.
Any Student found to have shared Timeline Trust's Teaching and Learning Materials shall:
- Be immediately and permanently withdrawn from the Program;
- Forfeit all fees paid without any entitlement to a refund; and
- Be subject to legal proceedings for breach of intellectual property rights and breach of contract.
5.6 Sharing of Online Class Access — STRICTLY PROHIBITED
Granting any third party access to a Live Online Class, whether by sharing a class link, login credentials, or by any other means, is strictly prohibited. Any Student found to have granted such access shall be immediately and permanently withdrawn from the Program without any refund.
5.7 Health and Safety Protocols
All Students and visitors at Timeline Trust's physical premises must observe all health and safety protocols in place at the time of their visit. These may include, without limitation:
- Handwashing or hand sanitization upon entry.
- Students who are coughing, sneezing, or displaying symptoms of illness may be required to wear a nose mask throughout their time on the premises.
Timeline Trust reserves the right to refuse entry to any person who declines to comply with applicable health protocols. Such refusal shall not entitle the Student to any refund.
5.8 Environmental Policy — Single-Use Plastics
Single-use plastics are strictly prohibited on the premises of Timeline Trust. Any Student or visitor found bringing single-use plastics onto the premises shall either:
- Be refused entry until the single-use plastic is properly disposed of off the premises; or
- Be required to remove the single-use plastic from the premises upon the conclusion of their visit.
Timeline Trust is committed to environmental sustainability and expects all students and visitors to share in this commitment.
ARTICLE 6: INTELLECTUAL PROPERTY RIGHTS
6.1 Ownership
All content available on or through the Learning Portal, including but not limited to teaching methodologies, lesson plans, instructional videos, Study Materials, Practice Tests, course frameworks, assessments, and proprietary processes, are the exclusive intellectual property of Timeline Trust or its licensors and are protected by applicable Ghanaian law, including the Copyright Act, 2005 (Act 690), and applicable international intellectual property conventions, including the Berne Convention for the Protection of Literary and Artistic Works.
6.2 Permitted Use
The Student's access to Study Materials and Learning Portal content is granted solely for the Student's personal, non-commercial educational use during the enrolled Program. No other use is permitted.
6.3 Prohibited Uses
The Student expressly agrees NOT to:
- Copy, reproduce, download (other than for personal offline study as permitted by the platform), print, or duplicate any content from the Learning Portal.
- Publish, post, upload, distribute, or share any content from the Learning Portal on any platform, including social media, websites, or messaging applications.
- Sell, license, or commercially exploit any content provided by Timeline Trust.
- Modify, create derivative works from, or adapt any content provided by Timeline Trust.
Any unauthorized use of Timeline Trust's intellectual property shall constitute an infringement of Timeline Trust's rights and Timeline Trust reserves the right to pursue all available legal remedies.
ARTICLE 7: CONFIDENTIALITY AND NON-DISCLOSURE
7.1 Confidentiality Obligation
The Student acknowledges that in the course of their enrolment, they will have access to Confidential Information belonging to Timeline Trust. The Student agrees to keep all such Confidential Information strictly confidential and not to disclose, share, distribute, publish, or otherwise make available any Confidential Information to any third party during the period of enrolment and for a period of five (5) years after the conclusion or termination of the Student's enrolment.
7.2 Scope of Non-Disclosure
The Student's confidentiality obligations include, without limitation:
- Not disclosing the specific content, structure, or strategies of any class session.
- Not sharing Study Materials, Practice Test questions, or lesson summaries with any person outside of Timeline Trust.
- Not publishing reviews, summaries, or descriptions of Timeline Trust's proprietary teaching methodologies or materials in any public forum.
- Not using Confidential Information for any purpose other than the Student's own test preparation.
7.3 Consequences of Breach
Any breach of this Article shall entitle Timeline Trust to seek injunctive relief, specific performance, damages, and any other legal or equitable remedy available under Ghanaian law and applicable international law. The Student acknowledges that a breach of this Article would cause Timeline Trust irreparable harm for which monetary damages may be inadequate.
ARTICLE 8: PRIVACY POLICY AND DATA PROTECTION
8.1 Data Collection
In the course of enrolment and participation in its Programs, Timeline Trust collects the following categories of personal data from Students:
- Full legal name and identification information.
- Contact information including email address, phone number, and residential address.
- Payment and financial information.
- Learning progress data, assessment scores, and attendance records.
- Device information and usage data collected through the Learning Portal.
- Photographs or identification documents submitted during enrolment.
8.2 Purpose of Data Processing
Timeline Trust processes Student personal data for the following purposes:
- Administration of enrolment and management of the Student's account.
- Delivery of educational services and access to the Learning Portal.
- Communication regarding class schedules, updates, and Program-related notices.
- Assessment of academic progress and generation of performance reports.
- Compliance with legal and regulatory obligations.
- Improvement of Timeline Trust's Programs and services.
- Marketing and promotional communications, where the Student has consented.
8.3 Legal Basis for Processing
Timeline Trust processes Student personal data on the following legal bases: (a) performance of the enrolment contract; (b) compliance with legal obligations; (c) legitimate interests of Timeline Trust; and (d) the Student's consent, where applicable.
8.4 Data Sharing
Timeline Trust shall not sell, rent, or lease Student personal data to third parties. Timeline Trust may share Student data with:
- Service providers and technology partners who assist in delivering the Learning Portal and services, subject to appropriate data processing agreements.
- Regulatory or law enforcement authorities, where required by law.
- Professional advisors including lawyers and auditors, under obligations of confidentiality.
8.5 Data Retention
Timeline Trust shall retain Student personal data for a period of not more than twelve (12) months from the date of enrolment, or such longer period as may be required by applicable law, after which the data shall be securely deleted or anonymized.
8.6 Data Security
Timeline Trust implements appropriate technical and organizational measures to protect Student personal data against unauthorized access, disclosure, loss, or destruction. However, no method of digital transmission is completely secure and Timeline Trust cannot guarantee absolute security.
8.7 Student Rights
Subject to applicable Ghanaian data protection law, including the Data Protection Act, 2012 (Act 843), Students have the right to:
- Request access to personal data held by Timeline Trust.
- Request correction of inaccurate personal data.
- Request deletion of personal data in certain circumstances.
- Object to certain types of processing.
- Withdraw consent previously given for marketing communications.
Requests to exercise data rights may be submitted in writing to Timeline Trust's data protection contact.
8.8 Cross-Border Data Transfers
Given that Timeline Trust serves Students globally, personal data may be processed or stored on servers located outside of Ghana. Where such transfers occur, Timeline Trust shall ensure appropriate safeguards are in place in accordance with applicable data protection law.
8.9 Cookies and Tracking
The Learning Portal may use cookies and similar tracking technologies to improve user experience and analyze usage. By using the Learning Portal, the Student consents to the use of cookies in accordance with Timeline Trust's Cookie Policy.
ARTICLE 9: LIMITATION OF LIABILITY AND INDEMNITY
9.1 Disclaimer of Warranties
TIMELINE TRUST'S PROGRAMS AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TIMELINE TRUST MAKES NO WARRANTY OR REPRESENTATION, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, OR GUARANTEE OF ANY PARTICULAR TEST SCORE OR EXAMINATION OUTCOME. THE ENROLMENT IN AND COMPLETION OF ANY PROGRAM DOES NOT GUARANTEE THAT A STUDENT WILL ACHIEVE ANY SPECIFIC SCORE ON ANY AUTHORISED TEST.
9.2 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TIMELINE TRUST AND ITS OFFICERS SHALL NOT BE LIABLE TO ANY STUDENT OR THIRD PARTY FOR:
- Any failure to achieve a desired or expected score on any Authorized Test.
- Any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to the Student's enrollment or participation in any Program.
- Any loss of data, interruption of service, or technical failure of the Learning Portal.
- Any injury, loss, theft, or damage to property occurring on Timeline Trust's premises, except where directly caused by the gross negligence of Timeline Trust.
- Any health consequences arising from a Student's attendance at in-person classes.
- Any reliance by the Student on information or advice given by any Officer of Timeline Trust outside of formal class sessions.
Where liability cannot be excluded by law, Timeline Trust's total aggregate liability to any Student for any claim arising out of or related to this Agreement shall be limited to the total Tuition Fees paid by that Student for the relevant Program.
9.3 Student Indemnity
The Student agrees to fully indemnify, defend, and hold harmless Timeline Trust and each of its Officers, directors, employees, agents, instructors, and contractors (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, suits, losses, damages, liabilities, costs, and expenses (including legal fees on an indemnity basis) arising out of or relating to:
- The Student's breach of any provision of this Agreement.
- The Student's unauthorized recording, reproduction, or distribution of any class content or Study Materials.
- The Student's sharing of Learning Portal access or credentials with any third party.
- The Student's infringement of Timeline Trust's intellectual property rights.
- Any misconduct, negligence, or wilful act of the Student on Timeline Trust's premises or during online sessions.
- Any claim brought against Timeline Trust by a third party as a result of the Student's actions or omissions.
This indemnity obligation shall survive the termination or expiry of the Student's enrolment.
9.4 Force Majeure
Timeline Trust shall not be liable for any failure or delay in the performance of its obligations under this Agreement where such failure or delay is caused by circumstances beyond Timeline Trust's reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics, governmental actions, civil unrest, power outages, internet failures, or any other event of force majeure. In such circumstances, Timeline Trust shall use reasonable efforts to resume services as soon as practicable.
ARTICLE 10: TERMINATION AND WITHDRAWAL
10.1 Termination by Timeline Trust
Timeline Trust reserves the right to immediately terminate or suspend a Student's enrolment, without notice and without any refund, for any of the following reasons:
- Breach of any term of this Agreement.
- Unauthorized recording of any class session.
- Sharing of Learning Portal credentials or class access with third parties.
- Sharing or distribution of Study Materials or proprietary content.
- Misconduct, disrespect, or abusive behavior toward any Officer or fellow Student.
- Providing false information during enrolment.
- Any other conduct that Timeline Trust, in its sole discretion, determines to be harmful to Timeline Trust's interests or reputation.
10.2 Withdrawal by Student
A Student who wishes to withdraw from a Program must notify Timeline Trust in writing. No refund of any fees paid shall be made upon voluntary withdrawal. Timeline Trust shall not be obligated to provide any make-up classes, credits, or alternative arrangements following a voluntary withdrawal.
10.3 Effect of Termination
Upon termination of enrolment for any reason, the Student's license to access the Learning Portal shall immediately and automatically terminate, and the Student must immediately cease all use of the Learning Portal and delete any downloaded materials.
ARTICLE 11: DISPUTE RESOLUTION — ARBITRATION
11.1 Commitment to Amicable Resolution
The parties shall endeavor to resolve any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, through good faith negotiation in the first instance. Any party wishing to raise a dispute shall notify the other party in writing, setting out the nature of the dispute and the resolution sought. The parties shall engage in good faith discussions for a period of thirty (30) days from the date of such written notice.
11.2 Binding Arbitration
If the dispute is not resolved through negotiation within thirty (30) days (or such extended period as the parties may agree in writing), the dispute shall be finally and exclusively resolved by binding arbitration in accordance with the Alternative Dispute Resolution Act, 2010 (Act 798) of Ghana. The arbitration shall be conducted as follows:
- Seat of Arbitration: The seat of arbitration shall be Accra, Ghana.
- Language: The arbitration shall be conducted in the English language.
- Arbitrator: Unless otherwise agreed, the dispute shall be determined by a sole arbitrator appointed by mutual agreement of the parties, or failing agreement within fourteen (14) days, appointed by the Ghana Arbitration Centre.
- Procedure: The arbitration shall be conducted in accordance with the procedural rules of the Ghana Arbitration Centre, as in force at the time of arbitration.
- Costs: The costs of arbitration shall be borne as determined by the arbitrator.
- Award: The arbitral award shall be final and binding on both parties and may be enforced by any court of competent jurisdiction.
11.3 Exclusion of Litigation
Except for: (a) applications for urgent injunctive or interim relief to prevent irreparable harm; or (b) enforcement of an arbitral award, the parties hereby irrevocably waive their right to commence or pursue any litigation in any court with respect to any dispute arising out of or related to this Agreement. The Student expressly agrees not to commence any lawsuit, court action, or class action against Timeline Trust or any of its Officers arising out of the Student's enrolment or participation in any Program.
11.4 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Republic of Ghana. Where Ghanaian law is silent on any matter, reference may be made to applicable international commercial law principles.
11.5 Jurisdiction for Injunctive Relief
Notwithstanding the foregoing arbitration clause, the High Court of Ghana, Accra, shall have exclusive jurisdiction to grant urgent interim or injunctive relief in support of the arbitration, and both parties hereby submit to the jurisdiction of such court for that limited purpose.
ARTICLE 12: AMENDMENTS AND UPDATES
Timeline Trust reserves the right, at its sole discretion, to amend, modify, update, or replace any provision of this Agreement, the Rules and Regulations, or any of its policies at any time. Notice of material amendments shall be communicated to enrolled Students via the Learning Portal or by email to the address provided during enrolment. Continued enrolment or use of the Learning Portal following the effective date of any amendment shall constitute the Student's acceptance of the amended terms.
ARTICLE 13: GENERAL PROVISIONS
13.1 Entire Agreement
This Agreement, together with the enrolment form and any Program-specific terms communicated to the Student at enrolment, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior representations, agreements, and understandings, whether oral or written.
13.2 Severability
If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a competent authority, that provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable, and the remaining provisions shall continue in full force and effect.
13.3 No Waiver
No failure or delay by Timeline Trust in exercising any right or remedy under this Agreement shall constitute a waiver of that right or remedy. A waiver of any breach shall not constitute a waiver of any subsequent breach.
13.4 Assignment
The Student may not assign, transfer, or delegate any rights or obligations under this Agreement to any other person. Timeline Trust may assign this Agreement or any of its rights and obligations hereunder without notice to the Student.
13.5 Notices
All notices under this Agreement shall be in writing and shall be delivered to Timeline Trust at its registered address at Achimota-Neoplan, Accra, Ghana, or by email to such address as Timeline Trust may designate. Notices to the Student shall be sent to the email address provided at enrolment.
13.6 Relationship of the Parties
Nothing in this Agreement shall be construed to create a partnership, joint venture, employer-employee, or agency relationship between Timeline Trust and the Student. The Student is an independent learner and student undertaking one of Timeline Trust's educational programs.
13.7 Language
This Agreement is drafted in the English language. In the event of any translation, the English version shall prevail.
ARTICLE 14: STUDENT ACKNOWLEDGEMENT AND ACCEPTANCE
By enrolling in any Program, making any payment, or accessing the Learning Portal or any class session offered by Timeline Trust, the Student unconditionally acknowledges that:
- They have read, understood, and agree to be bound by all the terms and conditions set out in this Agreement;
- They have been given adequate opportunity to seek independent legal advice before enrolling;
- They understand that all fees paid are non-refundable;
- They understand and accept the single-use and non-sharing policies;
- They agree to resolve all disputes through binding arbitration rather than litigation;
- They grant Timeline Trust the right to terminate their enrolment without refund for any breach of this Agreement.
